独立董事制度作为完善我国公司治理结构的一个重要组成部分，已经引起人们越来越多的关注。本文从制度层面、社会层面、公司层面，系统地分析了我国上市公司董事会结构中存在的种种缺陷，同时结合我国实际情况，就建立独立董事制度的有关方面进行探讨，提出了适合我国上市公司实际需要的独立董事制度的建议和思考。

Abstract:

An independent trustee system is an important part of the improvement of the company's management structure in our country, which has aroused more and more people's interests. This article has, from the angle of system, society and company, systematically analyzed all the sorts of flaws concerning the construction of Board of Directors of the listed companies in our country. It also discusses how to establish an independent trustee system suitable to our country's actual situation, and proposes some suggestions and thoughts about it at the same time.
